CONSTITUTION

 

ARTICLE I. NAME AND PURPOSE

Section A. Name

This organization shall be known as the Hou-Texins Amateur Radio Club.

Section B. Purpose

The Hou-Texins Amateur Radio Club has as its objectives the

following:

1. Recreation and promotion of fellowship among

Employees/Retirees with similar hobby interests.

2. Promote the interest of Texas Instruments through
on-the-air discussions with other amateurs.

3. Advancements the technical knowledge of members in the
TI Employee/Retiree family and spreading of interest
in amateur radio by teaching radio theory and code.

4. Representation with local Civil Defense organizations
in order to make the facilities and membership of the
club available as a trained emergency communications group.

ARTICLE II. MEMBERSHIP

Membership in the Hou-Texins Amateur Radio Club shall be open to all Employees/Retirees of TI and members of their families. Types of membership shall be divided into two classes – full and associate.

1. Full Member – A Full Member must be a holder of a valid
Amateur Radio Operator’s License.

2. Associate Member – An Associate Member may be any person
in the membership who is interested in amateur radio.

All membership shall be subject to such dues, rules and regulations as may be prescribed by the club in its By-Laws. Violations of any provision of the Constitution of By-Laws as made in pursuance thereof shall subject such member to be expelled from the Club on the motion of any other member in a regular meeting and confirmed by the majority vote of members present, a quorum being necessary.

 

 

 

 

 

ARTICLE III. QUORUM

One half of the membership of the club or ten members, whichever is smaller, shall constitute a quorum for the conduction of business.

Section A. Decorum

Roberts Rules of Order, Revised shall govern all deliberations of this organization, except where such rules are in conflict with this Constitution. Except where otherwise provided in this Constitution, a simple majority vote of members present shall be sufficient to carry any motion, a quorum being present.

ARTICLE IV. ELECTED OFFICERS

Section A. Titles

The elected officers of this club shall consist of a President,

a Vice-President, Secretary/Treasurer, and a Technical

Advisor. All officers must be Employees or Retirees of

Texas Instruments.

Section B. Selection

All officers shall be elected by majority vote of members present, a quorum being present. The voting shall be by ballot, with each member present being entitled to one vote.

Section C. Tenure

Officers shall be elected at the regular meeting in February and shall take office at the regular meeting in March. They shall serve for one year or until their successors have qualified.

Section D. Eligibility

All members in good standing who are Employees or Retirees of Texas Instruments shall be eligible for election as officers.

Section E. Removal

Any officer may be removed from office at any regular meeting on a motion from the floor by a two-thirds majority vote of members, a quorum being present; with each member entitled to one vote.

 

ARTICLE V. DUTIES OF OFFICERS

Section A. President

The President shall be a full member with a valid FCC amateur radio license, elected as described above. The President shall represent the membership in dealing with the Hou-Texins Recreation Committee and, where necessary, with the Management of Texas Instruments. Only full members are eligible for the office of President.

Section B. Vice-President

The Vice-President shall be a full member with a valid FCC amateur radio license, elected as above, becoming President in the absence of the elected President. The Vice-President will also be Program and Entertainment Chairperson and Public Relations Chairperson. This office will also be responsible to maintain an accurate inventory and location listing of tools and equipment which is owned or maintained by the club.

Section C. Secretary/Parliamentarian

The Secretary shall be a full or associate member, elected as described above, and shall be responsible for maintenance of club records and correspondence.

Section D. Treasurer/Historian

The Treasurer shall be a full or associate member, elected as described above, and shall be responsible for handling all financial matters as well as maintaining the club's historical records. A full oral and/or written report of the club’s financial status shall be presented at the first meeting of each quarter, unless otherwise requested by the President. The club’s financial records shall be made available to the Hou-Texins Recreation Committee whenever requested.

Section E. Technical Advisor

The Technical Advisor shall be a full member with a valid FCC amateur radio license and shall be Chairman of the Technical Committee, which is responsible for the operation of the station and equipment as described elsewhere.

Section F. Station Trustee

The Station Trustee shall be a full member with a General Class or higher) license, and appointed by the President, Vice-President, Technical Advisor, Secretary/Treasurer. The Station Trustee shall be responsible for obtaining the valid

Amateur Radio Operators License necessary to properly license the club station for use as an Amateur Radio Station. The Trustee shall be responsible for all intercourse with the Federal Communications Commission with regards to the licensing and operation of the club station.

 

Station G. Executive Committee

The Executive Committee is to consist of President, Vice-President, Technical Advisor, Secretary/Treasurer, and Station Trustee, once appointed.

ARTICLE VI BY-LAWS

Section A. Passage

By-Laws in pursuance of this Constitution shall be passed on motion from the floor at any regular or special meeting, by a simple majority of the members present, a quorum being present.

Section B. Writing

All By-Laws shall be in writing and shall become a permanent part of the records of the club.

Section C. Amendment or Repeal

By-Laws may be amended or repealed on motion from the floor at any regular or special meeting by a simple majority of the members present, a quorum being present.

Section D. Conflict

Any By-Laws passed in conflict with the provisions of this Constitution shall be void and of no force and effect. A committee of all the officers (the Executive Committee) or other agency created by the club for this purpose, by majority vote of its total membership, shall have authority to determine whether or not such conflict exists.

ARTICLE VII. AMENDMENT

This Constitution shall be amended only by submission in a regular meeting, on motion from the floor, and passage at the next regular meeting by a two-thirds majority vote of members present, a quorum being present, and shall become effective one day after the next regular meeting of the club following the regular meeting at which the passage was obtained.

 

ARTICLE VIII. ADOPTION

A two-thirds majority vote of members present, a quorum being present, at any regular meeting shall be sufficient to give this Constitution full force and effect, at which time it shall be signed by the President, counter-signed by the Secretary/ Treasurer, and copies delivered to the Secretary/Treasurer for retention as a permanent record of the club. The Secretary shall record the names of all members and the vote totals.

 

 

BY-LAWS

 

ARTICLE I STATION RULES

Rule One

The Station Room will be locked at all times when not in use. Access will be limited to full members after they have been checked out on station equipment and certified by a member of the Technical Committee. The Station Trustee or Technical Committee may deny the use of the station to any member when it is felt that the denial is in the best interests of the Club. The correct operating procedures for all equipment will be prepared by the Technical Committee and posted in the Club Room and Station and adhered to by all members. Correct and courteous operation and careful logging procedures are in the best interests of the club and must be followed. (Operators must have their personal licenses in their possessions when operating the Club Station.)

Rule Two

Test equipment and tools shall be kept in a locked cabinet and only members of the Technical Committee shall have keys. None of the Club equipment or tools shall be removed from the Station.

Rule Three

No repairs to or modifications of station equipment, such as receivers and transmitters, shall be attempted except by the Technical Committee, Trustee, or any other members authorized by the Technical Committee and all modifications will be documented and a log maintained. Members may operate those parts of the Club Station equipment for which they are licensed and on the bands and in the manner specified by their licenses, and within the extent specified by the Station Trustee’s license.

ARTICLE II.MEETINGS

Regular meetings of the club will be held at a date and time that has been determined at the previous meeting.

ARTICLE III.COMMITTEES AND STATION TRUSTEE

The President may appoint the following chairperson of committees. These committees are for the purpose of maintaining activity and proficiency in the various specialized activities within amateur radio. Committee chairpeople appointed by the President are as follows:

1. VHF-UHF Chairperson – The VHF-UHF Chairperson shall be a full member with Technician Class License (or higher) to promote activities and program material on high frequency techniques.

 

2. Training Chairperson – The Technical Chairperson shall be a full member responsible for establishing and conducting regular sessions of theory and code classes for members and interested parties. The Training Committee shall be responsible for arranging for use of space and equipment necessary for classes.

3. Technical Committee – The Technical Committee shall consist of the Chairperson, the Station Trustee, and three other members appointed by the Vice-President.

4. Temporary Committee – the President may appoint Temporary Committees and duties shall be consistent with requirements.

ARTICLE IV. FINANCIAL RECORDS

SECTION A. The Treasurer is hereby authorized and directed to purchase for the use of the club a large book to be known at the General Ledger. In this book, the Treasurer shall record all money received by the club, the date received, and the source of the revenue; and all money expended by the club and the date approved.

Section B. The General Ledger shall be balanced monthly, immediately prior to the regular meeting of the club, and the Treasurer shall report thereon to the club as requested by any member.

Section C. All financial records and purchasing procedures shall conform to the applicable requirements and procedures of the Hou-Texins Recreation Association.

At the regular meeting in March of each year, the President shall appoint a committee of three members to audit all financial transactions of the past year. The Treasurer shall make available to the committee all financial records in his possession. A comprehensive audit shall be made by the committee and a detailed report in writing made to the club at the regular meeting in April with a copy to Hou-Texins Association.

ARTICLE V. FINANCES

Section A. All money received by the Club shall be turned over to the Treasurer.

Section B. Money of the club shall be expended only for such general purposes and such specific items as may be authorized by the membership as follows:

 

Authorization One:

Expenditures are to be made only with the approval of the Technical Committee when less than $25.00. Expenditures greater than $25.00 will require the approval of the majority vote of two-thirds of the membership present at a meeting, a quorum being present. In the event a quorum is not present when the expenditure votes are taken, the Treasurer may poll the members outside the meeting to establish the desires of the club.

Authorization Two:

Payment for expenditures shall be by check from Hou-Texins. Check request must be signed by the Treasurer and one other member of the Executive Committee.

Section C. Dues for the club are annually set by the Executive Committee and payable in advance pro-rated quarterly for individual members. Yearly dues shall be payable to the Treasurer by

February 28th.

Section D. Failure or refusal of any member to pay the dues herein levied shall forfeit his membership in the club.

Section E. The fiscal year will commence March 1. Books and records will close the last day of February.
